Sounds like a nice car. Unfortunately, prices on the E46 M3 are falling fast. I just traded my '05 Competition which was in great shape and the dealer would barely give me $35k for it. Your friend's car is probably worth his price but be prepared for it to take a little time to sell.

yeah that guy has absolutely no clue what he is talking about. 80K miles 2001's go for $28/29... your friends car realistically is worth between $33-$37 in the current market, depending on how quickly he wants to sell.
38k with his mods on it is a good price for a super low mileage 04
