Fair Value For This M3?

Hey guys - -

I am looking at this M3.

2004 Coupe
37K miles
Fully loaded (but no aluminum trim or window shade) - heated seats, NAV, SMG, 19s, HK, etc...
Carbon/Cinnamon
LOCAL (this is rare)

Upgrades:
Angel eyes
CB kidneys, reflectors, headlight trim
GC D/A Coilovers & LCAB
Powerflex RTAB
Dynaudio front speakers
Borla V2 Mid & Muffler
V-CSL Diffuser
OEM Alarm
Passport SRX
MY05 Bluetooth and NAV software

Right now we're at $37,250.
His asking price was $38,900 - and my offers were $36,000 - then $36,750.
It has warranty until April of 2008 I believe (I will pay for extended if possible).
He's the 2nd owner, M3Forum member, and the car is in very clean condition (minor minor scuff on backseat and rear bumper).

What do you guys think?
I like the upgrades, but they shouldn't change the price of the car too much.
He's the 2nd owner and I'll be the 3rd - - is the 100K warranty still available?

*Also - I am in NO hurry. I can afford to wait. I know the cars will depreciate and we are going into Winter - but I am willing to **** up the depreciation in exchange for enjoying the car longer. That's life. But I CAN wait for a better deal, just wondering if that's reasonable or not.

Reasonable yes..... I recently tried to make a claim that the E46 was worth more then what the market bares... and upon further research I was dead wrong.

If the car is local, and you are in love with it on sight then yes its reasonable. If it doesn't have everything you want, you can certainly do better.

Someone made a great point to wait until right before the E92 starts meeting delivery dates, as current E46 owners will be much more willing to deal to get into their E92.

Just some thoughts.

I think people expect all E46 M owners to rush into E92s.

1) Different car - some like it, some dont
2) More expensive - not all E46M owners can afford the E92
3) Lease contracts, E92 availability, etc.

I don't see a huge flock to the E92 from the E46 crowd, but time will tell.

Regardless, you are right - they are only getting cheaper.
